BidandStudy – Terms & Conditions

1. Overview and Scope

BidandStudy ("BidandStudy," "we," "our," "us") operates an online marketplace (the "Platform") that connects individual learners ("Students") with language schools ("Educators"). BidandStudy is not a university/college marketplace and does not itself provide educational services.
By accessing or using the Platform, you agree to be bound by these Terms & Conditions (the "Terms") and our Privacy Policy.

2. Key Definitions

Educator: A language school participating on the Platform.

Student: An individual using the Platform to find and enroll in language courses.

Bid (PT: Lance; ES: Puja): A Student's price proposal and preferences submitted through the Platform.

Counteroffer: An Educator's reply proposing different terms.

Acceptance: An Educator's acceptance of a Bid (or a Student's acceptance of a Counteroffer).

Deposit: The 10% payment made by a Student to secure an accepted offer; held in escrow via BidandStudy or payment partners and deductible from the total program price.

Premium Service: An optional 5% concierge service (non-deductible) in which BidandStudy helps coordinate next steps.

Expiration Time: The date/time after which a Bid, Counteroffer, or Acceptance automatically lapses if no required action is taken.

3. Eligibility and Capacity

You must be 18 years or older and have legal capacity to contract. If you are under 18, you may only use the Platform with the active consent and responsibility of a parent or legal guardian.

4. Role of BidandStudy

BidandStudy operates as a technology Platform and, where applicable, payment facilitator/escrow holder for Deposits. The education contract is formed directly between the Student and the Educator. Educators are solely responsible for their course content, pricing, availability, policies, quality, and delivery.

5. School Identity and Messaging

Educator profiles may be visible in a generic form on the Platform; however, the Educator's name, logo, and website remain hidden until the Student pays the Deposit. Upon payment of the Deposit:
(a) the Educator's full identity and contact details are revealed; and
(b) Platform messaging opens between Student and Educator (and, if opted, with BidandStudy for Premium Service).

6. Bidding and the $10 Bid Fee

Submitting a Bid requires payment of a non-refundable USD $10 fee (the "Bid Fee"). The Bid Fee is the same regardless of how many Educators receive the Bid. Educators may accept, decline, or respond with a Counteroffer. All actions may include an Expiration Time displayed in the Platform. No contract is binding until the Student confirms by paying the 10% Deposit before the offer expires.

7. Acceptances, Deposits, and Payments

Deposit (10%): When an Educator accepts a Student's Bid, or when a Student accepts an Educator's Counteroffer, the Student may confirm before the offer expires by paying a 10% Deposit. This Deposit secures the agreed price, unlocks messaging, and reveals the Educator's identity. The Deposit is deductible from the total program price and is held in escrow by BidandStudy or our payment partners until the release conditions are met.

Premium Service (+5%): Students may add an optional 5% Premium Service (non-deductible) under which BidandStudy helps coordinate documents, communication, and next steps. Premium Service does not guarantee admission, visas, housing, or outcomes.

Remaining Balance (90%): Students pay the remaining 90% directly to the Educator per the Educator's invoice and schedule.

Taxes, FX, and Charges: Prices may exclude taxes/fees. Bank charges, foreign exchange spreads, and payment processor fees are the Student's responsibility.

Chargebacks/Failures: We may suspend messaging, hide identities, or cancel pending actions if a payment fails or is charged back.

8. Expirations

If the Student does not confirm an accepted Bid or Counteroffer by paying the Deposit before the Expiration Time, the offer lapses automatically without liability to either party.

9. Enrolment Confirmation and Contracting Party

Enrollment is only confirmed once (a) the Educator has accepted the Bid or the Student has accepted a Counteroffer, and (b) the Student has confirmed by paying the Deposit before the Expiration Time. The Educator then issues written confirmation and an invoice.

10. Changes to Reservations

Changes to confirmed bookings are governed by each Educator's policies. Some Educators allow changes within a short window after confirmation without extra fees; others may charge administrative or third-party costs. Changing Educators, reducing duration, or downgrading services may be treated as a cancellation under the Educator's policy.

11. Cancellations and Refunds

If a Student does not confirm an accepted Bid or Counteroffer by paying the Deposit before expiry, the offer lapses and no Deposit is charged.

Bid Fee: The USD $10 Bid Fee is non-refundable.

Deposit: Refundability of the Deposit is determined by the Educator's policy shown at the time of acceptance. Where the Educator's policy allows, we will return the Deposit (minus any stated admin fees) from escrow after the Educator confirms eligibility.

Visa Refusal: If a timely visa application is denied, Students may request refunds in line with the Educator's policy by submitting official refusal documentation no later than 21 days before the course start date (unless the Educator specifies a different window). Admin fees may apply (e.g., up to USD $200), as stated by the Educator.

After Start Date: After the course begins, refunds are generally not available unless explicitly provided in the Educator's policy.

12. Accommodation (If Offered)

Accommodation (when provided) is managed by the Educator or third-party providers and is subject to their terms. Preferences listed in the Bid are not guaranteed. Detailed accommodation information is typically provided 1–2 weeks before the course start date.

13. Airport Transfers and Ancillary Services

Airport transfers and other ancillary services may be available through individual Educators or third parties and are subject to their separate terms, pricing, and availability.

14. Minimum Class Size and Holiday Schedules

Educators may replace group classes with reduced individual/small-group classes if minimum class sizes are not met. Classes typically do not occur on local/national holidays or weekends; missed classes are not usually refunded or rescheduled unless stated otherwise by the Educator.

15. Student Responsibilities (Travel, Health, Compliance)

Students are responsible for passports, visas, travel arrangements, insurance, customs/immigration rules, and health requirements. Students should inform Educators of relevant medical considerations and follow local regulations.

16. Prohibited Conduct

You agree not to: (a) misrepresent identity or documentation; (b) attempt to uncover a hidden Educator's identity before paying the Deposit; (c) scrape, harvest, or reverse-engineer the Platform; (d) post abusive, illegal, or infringing content; (e) interfere with the Platform; or (f) violate sanctions, export controls, or other applicable laws. We may suspend or terminate accounts for violations.

17. Information Accuracy

Educator listings, prices, availability, policies, and descriptions are provided by the Educators. BidandStudy does not guarantee accuracy or completeness and is not liable for errors/omissions. Currency conversions shown on the Platform are for information only.

18. Privacy; KYC/AML

We process personal data per our Privacy Policy (GDPR/LGPD-aligned). We may conduct KYC/AML/sanctions screening and freeze or refund payments where required by law or to prevent misuse.

19. Intellectual Property and Use of Site

All Platform content is owned by BidandStudy or its licensors and protected by IP laws. You may use the Platform for personal, non-commercial purposes only. No scraping, framing, unauthorized copying, or derivative works are permitted.

20. Third-Party Links and Services

The Platform may link to third-party sites or services. We do not control or endorse third-party content and are not responsible for it. Your use of third-party services is at your own risk and subject to their terms.

21. Disclaimers; Limitation of Liability

To the maximum extent permitted by law, the Platform is provided "as is." We do not guarantee uninterrupted or error-free operation, admission outcomes, visas, accommodation, or course results.
Educators are solely responsible for the delivery and quality of their services.
Our total liability for claims arising out of or related to the Platform shall not exceed the aggregate fees paid to BidandStudy for the relevant transaction(s). We shall not be liable for indirect, punitive, incidental, or consequential damages.

22. Suspension and Termination

We may suspend or terminate access to the Platform at any time for any reason, including misuse, fraud, non-payment, chargebacks, or suspected violations of these Terms.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the courts located in Cherokee County, Georgia (including Woodstock) for all disputes arising from these Terms or the Platform.

24. Language and Precedence

We may provide these Terms in multiple languages (e.g., English, Portuguese, Spanish). In the event of inconsistency or conflict, the English version controls.

25. Changes to Terms

We may update these Terms from time to time. The "Last updated" date will reflect changes. Your continued use of the Platform after updates constitutes acceptance of the revised Terms.
